Terms of Service

These Terms of Service ("Terms") govern access to and use of Suzy Rent's websites, mobile applications, communities, rental marketplace, messaging, booking, subscription, payment-related, property-management and related features and services (collectively, the "Services").

The Services are operated by Krelio Technologies Inc. ("Krelio," "Suzy Rent," "Suzy," "we," "us," or "our").

Please read these Terms carefully. By creating an account, clicking or otherwise indicating acceptance where presented, entering into a transaction through the Services, or continuing to use Services that require acceptance of these Terms, you agree to be bound by them.

If you do not agree to these Terms, you should not use the affected Services.

Certain features or transactions may also be governed by additional terms displayed before you use or purchase them, including applicable payment, booking, subscription, Community, business, or transaction-specific terms.

1. Eligibility and authority

You must be at least eighteen (18) years old and have legal capacity to enter into a binding agreement to create or use a Suzy account.

By using the Services, you represent that you satisfy these requirements.

If you use the Services on behalf of a company, partnership, property owner, property manager, brokerage, organization, school, community, or other entity, you represent and warrant that you have authority to act for and bind that entity with respect to the activities you undertake.

We may require reasonable evidence of identity, authority, ownership, affiliation, registration, licensing, accreditation, or other eligibility before allowing access to particular features.

2. Accounts

You agree to provide information that is accurate, current, and complete where reasonably required for the applicable feature and to update material information when it changes.

You are responsible for maintaining the security of your account credentials and devices and for activities undertaken through your account to the extent attributable to you.

You must not sell, transfer, rent, impersonate another person through, or permit unauthorized use of your account.

If you believe your account has been compromised or used without authority, notify Suzy promptly through the available support channels.

We may require additional verification where reasonably necessary for security, fraud prevention, platform integrity, legal compliance, or access to a particular feature.

3. Suzy's role as a platform

Suzy provides technology that may enable users to discover rental properties, communicate with other users, find potential roommates, participate in Communities, submit inquiries, arrange ocular visits, make or receive booking requests, manage rental-related information, use payment-related functionality, obtain verification badges, and access other Services made available from time to time.

Unless Krelio is expressly identified as the seller, lessor, service provider, or contracting party for a particular transaction, Krelio is not the owner or lessor of a property listed by a third party and is not a party to the lease, roommate arrangement, property-management engagement, or other agreement entered into between users.

A rental, booking, roommate, or other user-to-user agreement is entered into by the users identified in the applicable transaction.

Nothing in these Terms excludes or limits any responsibility imposed on Krelio as an e-marketplace, digital platform, e-retailer, personal information controller, or other regulated entity under applicable law.

3.1 Real-estate services

Except where a separate written agreement expressly provides otherwise and the relevant service is lawfully provided by or through appropriately registered or licensed real-estate service practitioners, Krelio does not undertake to act as your real-estate broker, real-estate salesperson, attorney-in-fact, or agent in negotiating the terms of a lease or other real-estate transaction.

Property owners, brokers, salespersons, property managers, and other real-estate professionals remain responsible for maintaining any registration, accreditation, authority, supervision, permit, or license legally required for the services they offer.

Nothing in these Terms authorizes any person to perform acts that require a professional license or accreditation without the required authority.

4. Availability and evolution of the Services

The particular features available to you may depend on your device, location, account type, subscription, community membership, platform version, property, transaction, or other applicable conditions.

We may introduce, modify, test, suspend, replace, or discontinue features as the Services develop.

Where a change materially affects a paid entitlement during an already-paid subscription or transaction period, we will apply the applicable subscription, consumer-protection, grandfathering, or other legal requirements.

Due to the nature of software and digital infrastructure limitations, We do not guarantee that every feature will remain available indefinitely or that all Services will be uninterrupted or error-free.

5. Renters and roommate seekers

Renters and roommate seekers may use applicable features to discover rental properties, submit inquiries, interact with Property Providers, schedule ocular visits, make booking or reservation requests, manage rental-related information, discover prospective roommates, exchange match or connection requests, communicate with other users, and use other renter-facing features.

You are responsible for evaluating whether a property, Property Provider, roommate, lease, Community, or transaction is appropriate for you.

Recommendations, verification badges, profiles, ratings, reviews, community membership, matching tools, and other information provided through Suzy assist with discovery but do not constitute a guarantee of identity, character, safety, compatibility, financial capacity, property condition, availability, legality, or successful tenancy.

Users should exercise reasonable judgment in online and offline interactions and comply with applicable law and any rental, condominium, building, community, or property rules that lawfully apply.

6. Property Providers and commercial users

For purposes of these Terms, a "Property Provider" includes a property owner, lessor, authorized representative, broker, property manager, accommodation provider, business, or other person that lists, offers, manages, or transacts in relation to rental property through the Services.

A Property Provider represents and warrants that it has lawful authority to list or offer each property and to enter into or facilitate the applicable transaction in the capacity represented to users.

Property Providers must keep listing and transaction information materially accurate and must not knowingly provide false, deceptive, misleading, incomplete, or materially outdated information concerning matters such as:

1. property identity and location;
2. price, rent, deposits, fees, and other material charges;
3. availability;
4. property condition and material features;
5. included or excluded services and utilities;
6. booking or cancellation conditions;
7. the Property Provider's identity and authority; and
8. licenses, permits, registrations, or professional credentials required by law.

Where applicable law requires a commercial account or online merchant to provide business identity, geographic address, contact details, registration documents, professional-license information, pricing, description, condition, or other information, the Property Provider agrees to provide such information to Krelio and authorizes Krelio to display or disclose the information to the extent required or permitted by law.

Krelio may request reasonable supporting documentation and may reject, suspend, restrict, or remove a listing or account where documentation is unavailable, appears materially inconsistent, has expired, or where continued publication may violate law or create a material risk to users or the Services.

Property Providers remain responsible for their properties, the legality and condition of their offerings, representations made to renters, lease obligations, required invoices or receipts, taxes, deposits, refunds, permits, licenses, and compliance with applicable housing, condominium, consumer, real-estate, and other laws.

7. Roommate Search & Matching

Suzy’s “Roomies” features provide tools for authenticated roommate discovery and communication.

Users may create profiles, express roommate and housing preferences, discover other profiles, send or receive match or connection requests, communicate using available messaging features, and access premium Roomies functionality where offered.

Suzy may organize, rank, recommend, limit, or withhold profiles or interactions using information and signals described in the Privacy Policy and applicable feature notices.

A Roomies match, connection, verification badge, recommendation, or message does not constitute Krelio's endorsement of or guarantee concerning another user.

Features described as "unlimited," "uncapped," or similar remain subject to reasonable technical, security, anti-spam, fraud-prevention, fair-use, and abuse-prevention controls.

Messaging features do not override another user's blocking, privacy, safety, reporting, or message-request controls.

8. Communities

Suzy may allow users or authorized organizations to create or participate in Communities.

Communities may be public, private, closed, invitation-based, affiliation-based, domain-restricted, or subject to other membership conditions disclosed through the applicable feature.

Community administrators may manage membership, establish supplementary Community rules, moderate content, organize Community activities, and exercise other permissions made available by Suzy.

Unless expressly identified as acting for Krelio, a Community administrator, school, organization, sponsor, or partner is not Krelio's employee, agent, representative, or legal partner merely because it operates or administers a Community.

Community-specific rules supplement these Terms but may not authorize conduct prohibited by these Terms or applicable law.

Content posted to a public or member-accessible Community can be viewed, copied, recorded, or shared by persons with access. Users should not assume that Community content will remain confidential merely because a Community is private or closed.

Where an anonymous-posting feature is offered, the meaning and limits of anonymity are governed by the applicable feature notice and Privacy Policy. Anonymous posting does not make the poster anonymous to Krelio.

9. Listings, inquiries, bookings, and rental agreements

A listing or advertisement does not by itself guarantee that a property remains available or create a lease with Krelio.

An inquiry, chat message, ocular request, match request, or similar preliminary interaction does not create a rental contract unless the applicable feature or parties expressly provide otherwise.

A booking, reservation, offer, acceptance, payment, electronically signed document, or other transaction may create legally binding obligations between the relevant users depending on its terms and applicable law.

Before completing a transaction, you are responsible for reviewing the material terms presented to you, including the identity of the counterparty, property, price, fees, deposits, rental period, cancellation rules, and applicable transaction-specific terms.

Rental agreements and other contracts between users govern the rights and obligations of those parties. Terms agreed between users do not impose obligations on Krelio unless Krelio separately and expressly accepts them.

The Services may facilitate electronic records, acknowledgments, approvals, or signatures. Users agree that electronic communications and records may be used in connection with the Services to the extent permitted by applicable law.

Krelio does not represent that every electronic workflow satisfies every legal formality that may apply to a particular transaction. The parties remain responsible for additional notarization, documentation, registration, witnessing, or other legal formalities where required.

10. Payments, fees, refunds, and cancellations

Certain Services may allow users to make or receive payments, pay platform or subscription fees, or use payment-related features.

Payment processing may involve third-party payment service providers and is subject to the payment methods and transaction terms made available at the time of payment.

Where applicable, Suzy's Payments, Refunds & Cancellation Policy and transaction-specific checkout terms govern payment collection, platform fees, processing fees, payouts, holds, refunds, cancellations, deposits, chargebacks, and related matters.

Fees charged by Krelio will be disclosed as required before the applicable transaction or purchase.

Nothing in these Terms or any Payments Policy eliminates a refund, remedy, warranty, consumer right, or other entitlement that cannot lawfully be waived.

Users must not initiate fraudulent or abusive chargebacks, submit false payment information, or use the payment system for illegal activity.

A user remains responsible for amounts lawfully owed under an applicable transaction even where a payment attempt fails, subject to applicable dispute, refund, and consumer-protection rights.

11. Subscriptions and premium features

Suzy may offer paid subscriptions or premium features.

The price, billing period, features, limitations, renewal terms, and method of cancellation applicable to a subscription will be displayed before purchase or through the relevant app store or payment channel.

Where a subscription automatically renews, automatic renewal will apply only as disclosed through the relevant purchasing flow and subject to applicable law and app-store requirements.

If a subscription is purchased through Apple, Google, or another third-party app store, that provider may control billing, cancellation, and certain refund procedures under its applicable terms.

Cancellation ordinarily prevents future renewal and does not by itself require a refund for a period already purchased, except where the applicable purchase terms, app-store rules, or law provide otherwise.

We may change subscription prices prospectively. Where notice is required, we will provide it before the changed price applies to a future billing period.

12. Verification and badges

Suzy may provide identity, liveness, affiliation, organization, email domain, property, or other verification features directly or through service providers.

Users must not submit falsified documents, impersonate another person, manipulate a verification process, or obtain or display a verification status through deception.

A verification badge means only that the account completed the particular verification process identified by Suzy at or before the time the badge was issued.

A badge is not a criminal-background check, credit check, professional recommendation, warranty, safety certification, tenancy approval, or guarantee that the user will continue to provide accurate information.

Suzy may require reverification or suspend, remove, or decline a badge when information expires, appears inconsistent, material account information changes, verification fails, a risk signal is detected, or continued display could be misleading.

13. Automated, recommendation, and AI-assisted features

The Services may use automated systems to organize, rank, recommend, summarize, classify, detect abuse, assist communications, or provide other functionality.

Suzy may also make available AI-assisted features that generate, summarize, suggest, categorize, or help prepare content or responses.

Automated or AI-generated output may be incomplete, inaccurate, or inappropriate for a user's particular circumstances. Such output should not be treated as legal, financial, real-estate, safety, or other professional advice unless the applicable feature expressly states otherwise.

Users remain responsible for material decisions they make using such output and, where they configure automated messages or actions on their behalf, for reviewing and using those features appropriately.

Additional information concerning processing of personal data for automated systems or profiling is provided in the Privacy Policy and applicable feature notices.

14. User Content

"User Content" means content submitted, uploaded, transmitted, displayed, or otherwise made available by a user through the Services, including profiles, photographs, property listings, descriptions, posts, comments, reviews, messages, attachments, Community content, and other user-provided material.

By providing User Content through the Services, you grant Krelio a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, display, format, adapt for technical purposes, distribute, and otherwise process that User Content to operate, secure, maintain, improve, and provide the Services in accordance with the applicable audience, visibility settings, Privacy Policy, and these Terms.

For User Content you deliberately make public or provide for publication as a listing, review, Community post, promotional submission, or similar public-facing material, this license also permits Krelio to reproduce or display that content for the reasonable promotion, discovery, and presentation of the Services while the content or relevant account remains available.

Removal or deletion of User Content generally ends future public use by Krelio for the purposes above once removal is technically completed, except that copies may remain for a limited period in backups, legal records, security records, previously completed publications, or other circumstances permitted by law or described in the Privacy Policy.

The narrower processing necessary to transmit, store, secure, investigate, or lawfully preserve private messages or private content is not converted into a right to use that content for unrelated advertising.

You represent that you have the rights and authority reasonably necessary to provide your User Content and to grant the rights described above.

15. Content standards and prohibited conduct

You must not use the Services to:

1. violate applicable law or the legal rights of another person;
2. impersonate another person or materially misrepresent your identity, authority, affiliation, property, credentials, or intentions;
3. post fraudulent, deceptive, materially misleading, unlawful, prohibited, unsafe, or unauthorized listings or offers;
4. harass, threaten, stalk, exploit, discriminate unlawfully against, defame, or abuse another person;
5. publish another person's personal information without lawful authority;
6. upload malware, malicious code, or content designed to compromise systems or accounts;
7. attempt unauthorized access to the Services, another account, or non-public systems;
8. scrape, crawl, harvest, copy, or access the Services through automated means except as expressly authorized by Krelio or permitted by law;
9. circumvent security, access, privacy, matching, anti-spam, payment, subscription, or abuse-prevention controls;
10. send unsolicited bulk communications, spam, fraudulent match requests, or deceptive promotions;
11. manipulate ratings, reviews, recommendations, verification, reports, or platform metrics;
12. use the Services to infringe copyright, trademark, privacy, publicity, contractual, or other third-party rights;
13. use another user's content or information for purposes materially inconsistent with the reason it was made available;
14. engage in fraudulent payment activity, money laundering, scams, or unlawful financial activity; or
15. assist another person in doing any of the above.

Additional Community or feature-specific rules may apply.

16. Intellectual property belonging to Krelio

The Services, excluding User Content and third-party materials, including Suzy's software, interfaces, design elements, branding, trademarks, logos, databases, original content, and related intellectual property, are owned by or licensed to Krelio and are protected by applicable law.

Subject to these Terms, Krelio grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purposes.

This license permits authorized commercial users to use business-facing Services for their legitimate business activities on Suzy. It does not authorize reproduction, resale, sublicensing, extraction, reverse engineering, creation of a competing service, or other exploitation of Krelio's intellectual property except where expressly permitted by Krelio or applicable law.

If you voluntarily provide suggestions, ideas, or feedback concerning the Services, you authorize Krelio to use that feedback without restriction or obligation to compensate you, provided that this clause does not grant Krelio ownership of personal data or User Content merely because it contains feedback.

17. Intellectual-property and unlawful-content notices

If you believe content on the Services infringes intellectual-property rights or is otherwise unlawful, prohibited, imminently dangerous, or materially violates these Terms, you may report it through Suzy's available reporting or support channels.

A report should contain sufficient information for us to identify the affected content and understand the basis of the complaint.

Krelio may request additional information where reasonably necessary and may remove, disable, restrict, preserve, or restore content based on the circumstances, applicable law, evidence available to us, and the rights of affected parties.

Nothing in these Terms limits Krelio's obligation to act on notices or government orders where applicable law requires removal, disabling, disclosure, preservation, or other action.

18. Moderation, safety, and platform enforcement

Krelio may investigate suspected violations of these Terms, feature rules, Community rules, fraud or abuse controls, or applicable law. Where reasonably appropriate, we may:

1. remove or restrict User Content;
2. limit distribution or visibility;
3. block or limit messaging or match activity;
4. decline or remove a listing;
5. remove a verification badge;
6. restrict a Community or administrator permission;
7. require reverification;
8. temporarily restrict transactions;
9. suspend particular features;
10. suspend or terminate an account;
11. preserve information relevant to a dispute or investigation; or
12. take other proportionate measures reasonably necessary to protect users, Krelio, third parties, or the integrity of the Services.

Where immediate action is reasonably necessary because of fraud, security, safety, unlawful activity, legal process, or a significant risk to the Services or another person, action may occur without advance notice.

Where appropriate and technically available, we may provide a general reason for significant account action and an opportunity to appeal.

Krelio is not required to pre-screen every item of User Content or interaction except to the extent required by applicable law. The fact that content remains available does not constitute Krelio's endorsement of it.

19. Third-party services

The Services may interoperate with or contain links to payment processors, identity-verification providers, app stores, authentication providers, maps, analytics services, communications providers, websites, or other third-party services.

Third parties may impose their own terms and privacy notices for services they independently provide.

Krelio does not control a third party merely because its service is accessible through Suzy and is not responsible for acts or omissions occurring outside Krelio's instructions or control, except to the extent Krelio bears responsibility under applicable law or a separate agreement.

20. Privacy

Krelio processes personal data in accordance with the Suzy Rent Privacy Policy and applicable feature-specific privacy notices.

The Privacy Policy explains our processing practices and does not operate as blanket consent to all personal-data processing.

Where consent is legally required for a particular processing activity, consent is requested through the appropriate notice, interface, setting, or other legally sufficient method.

Cookies, SDKs, analytics, session-replay technologies, and similar technologies are used subject to applicable privacy notices, settings, and consent requirements.

21. No professional or safety guarantee

Unless expressly stated for a particular service, information supplied through Suzy is provided for platform, discovery, informational, or administrative purposes and is not legal, tax, accounting, financial, architectural, engineering, brokerage, medical, or other professional advice.

Krelio does not guarantee that a property, Property Provider, roommate, Community member, user, reviewer, or other third party is suitable, trustworthy, financially capable, safe, or compliant merely because the person or property appears on Suzy or has completed a particular verification process.

Nothing in this section limits obligations Krelio cannot lawfully disclaim.

22. Disclaimer of warranties

To the fullest extent permitted by applicable law, and except for warranties or obligations that cannot lawfully be excluded, the Services are provided on an "as available" and "as is" basis.

Krelio does not warrant that the Services will always be uninterrupted, free of technical errors, or free from all harmful conduct by third parties.

Much of the information concerning properties, users, availability, Communities, reviews, and transactions is supplied by users or third parties. Although Krelio may undertake verification, moderation, security, or diligence measures, the existence of those measures does not make Krelio the guarantor of every representation submitted by another user.

Nothing in these Terms excludes warranties, remedies, standards of diligence, or liabilities imposed by mandatory Philippine law.

23. Limitation of liability

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited, including liability arising from fraud, bad faith, willful misconduct, or mandatory statutory consumer obligations where applicable.

Subject to the preceding paragraph and to the fullest extent permitted by law, Krelio and its directors, officers, employees, and agents will not be liable for indirect, incidental, exemplary, punitive, or consequential damages arising from the Services where such damages are lawfully excludable.

For claims for which liability may lawfully be contractually limited, Krelio's aggregate liability arising out of or relating to the Services and these Terms will not exceed the greater of:

(a) the platform or subscription fees paid directly to Krelio by the claimant during the three (3) months preceding the event giving rise to the claim, excluding rent, deposits, and amounts collected principally for transfer to another user or third party; or

(b) One Thousand Philippine Pesos (PHP 1,000).

Krelio is not liable for a user's voluntary agreement with another user, off-platform conduct, or loss caused solely by inaccurate information supplied by the claimant or another user, except where applicable law provides otherwise.

24. Indemnification

To the extent permitted by law, you agree to indemnify Krelio and its directors, officers, employees, and agents against third-party claims, losses, liabilities, penalties, and reasonable costs arising directly from:

1. your material breach of these Terms;
2. User Content you provide that infringes another person's rights;
3. fraudulent, illegal, or intentionally harmful conduct undertaken through your account;
4. your lack of authority to list, lease, manage, or transact concerning property you offer;
5. your violation of licensing, professional, tax, permit, consumer, or property obligations for which you are legally responsible; or
6. your material misrepresentation to another user.

25. Suspension, termination, and account closure

You may stop using the Services at any time and may deactivate or request deletion of your account through available account or privacy controls.

Krelio may suspend or terminate an account or particular feature where reasonably necessary because of:

1. a material or repeated breach of these Terms;
2. fraud or suspected fraudulent activity supported by reasonable grounds;
3. security or account-compromise concerns;
4. spam, harassment, abuse, impersonation, or platform manipulation;
5. unlawful activity;
6. failure to satisfy a legally required verification or eligibility requirement;
7. material risk to users, third parties, Krelio, or the Services;
8. a valid legal or regulatory requirement;
9. nonpayment of an amount lawfully due; or
10. discontinuation of an applicable Service.

Where practicable and appropriate, Krelio may provide notice before or after significant enforcement action.

Termination does not extinguish obligations, payment liabilities, refunds, disputes, accrued rights, or provisions that by their nature should survive termination.

Account deletion and personal-data retention are governed separately by the Privacy Policy and applicable law.

26. Complaints and internal redress

Users may report complaints concerning a transaction, user, listing, account action, or other Service issue through Suzy's available support channels, including [email protected].

Where the Internet Transactions Act or another applicable law requires use of an internal redress mechanism before external escalation, the parties agree to use Suzy's applicable internal complaint process.

Privacy complaints and data-subject requests may be directed to [email protected] and are additionally governed by the Privacy Policy and applicable National Privacy Commission procedures.

27. Dispute resolution, governing law, and venue

These Terms are governed by the laws of the Republic of the Philippines.

The parties should first use any internal redress process before commencing an external dispute procedure, except where applicable law allows otherwise.

After the applicable internal process has been exhausted, the parties may mutually agree to mediation, arbitration, or another alternative dispute-resolution process.

These consumer-facing Terms do not require an individual consumer to waive access to a regulator or mandatory consumer remedy available under applicable law.

A separate Merchant Agreement, Property Provider Agreement, enterprise agreement, or other commercial contract may contain a binding arbitration provision or different dispute procedure. Where such an agreement validly applies between Krelio and that business user, the more specific dispute provision governs that commercial relationship.

You agree that judicial proceedings between Krelio and a user arising primarily from these Terms shall be brought exclusively before the courts in Muntinlupa City, Philippines.

28. Changes to these Terms

Krelio may revise these Terms to reflect changes in the Services, business operations, applicable law, security requirements, or other legitimate needs.

The revised Terms will identify their effective or last-updated date.

For material changes affecting existing users, we will provide notice appropriate to the nature of the change, such as through the Services, account notice, or email, before or when the revised Terms take effect as required by applicable law.

If applicable law requires separate agreement or consent for a particular change, we will obtain it through an appropriate mechanism.

29. Additional terms and order of precedence

Certain Services may be governed by additional agreements or rules, including:

1. transaction-specific checkout or booking terms;
2. the Payments, Refunds & Cancellation Policy;
3. subscription or app-store terms;
4. Community or feature rules;
5. Property Provider, Merchant, enterprise, or partnership agreements; and
6. other terms expressly presented for a particular Service.

Where provisions conflict, the more specific terms govern the specific feature or transaction to which they apply, unless applicable law requires otherwise.

A separate negotiated written agreement between Krelio and a business user may take precedence over these Terms for the subject matter expressly covered by that agreement.

The Privacy Policy applies to personal-data processing but does not operate as a contractual waiver of privacy rights or as blanket consent.

30. General provisions

30.1 Entire agreement

These Terms together with applicable additional contractual terms constitute the agreement between you and Krelio concerning your use of the Services, except for matters covered by a separate written agreement.

30.2 Severability

If a provision is held invalid, illegal, or unenforceable, it will be enforced to the maximum extent lawfully possible or severed as necessary, and the remaining provisions will remain effective.

30.3 No waiver

A delay or failure by Krelio to enforce a provision does not waive the right to enforce it later.

30.4 Assignment

You may not assign your rights or obligations under these Terms without Krelio's prior written consent.

Krelio may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, corporate restructuring, or transfer of the Services, subject to applicable law and without reducing accrued rights that cannot lawfully be impaired.

30.5 Electronic communications

You agree that notices, disclosures, confirmations, records, and other communications concerning the Services may be provided electronically, including through the Services, your account, or the contact information you provide, to the extent permitted by law.

30.6 Force majeure
